SelfRide Agency Terms of Service

1 Parties and Definitions

This agreement is concluded electronically between the following parties:

2Service Scope

• 2.1 The Agency provides transfer services to its own customers under its own brand.
• 2.2 Platform provides: reservation management panel, widget, API access, and e-ticket system.
• 2.3 Agency freely sets pricing. Platform does not interfere.
• 2.4 Multiple widgets can be created within plan limits.
• 2.5 Supplier Network: For routes you cannot serve with your own fleet, you can have your bookings fulfilled by the RideAndGoo supplier network. Your customer only sees your brand. Supplier price (agent_price) is deducted from your account.

3Revenue Structure

• 3.2 No commission for own-operation reservations within quota.
• 3.3 Over-quota commission debt is finalized at reservation creation.
• 3.4 Commission for cancelled reservations is not refundable — it covers platform usage.
• 3.5 When the RideAndGoo supplier network is used, supplier cost (agent_price) is deducted from your balance.
• 3.6 For Platform-collected supplier network transfers: earnings = net_price - agent_price.

4Payment and Balance Rules

• 4.1 When the supplier network is used, supplier cost (agent_price) is instantly deducted from your balance. Insufficient balance prevents supplier network usage.
• 4.2 Over-quota commissions are also deducted from your balance.
• 4.3 For self-collected supplier network transfers, only supplier cost is deducted from your balance.
• 4.4 International withdrawal fees and exchange rate differences are borne by the agency.

5Service Conditions and Liability

• 5.1 Agency is exclusively responsible for timely, safe, and professional completion of own-fleet transfers.
• 5.2 For transfers fulfilled via the RideAndGoo supplier network, operational responsibility lies with the supplier. Platform is not liable.
• 5.3 Agency undertakes it holds valid legal permits and licenses for served routes.
• 5.4 Vehicles must have valid traffic and mandatory liability insurance.
• 5.5 Platform may suspend or terminate cooperation upon repeated complaints, quality decline, or non-compliance.

6Data Protection

• 6.2 Platform processes data only for service delivery (reservations, e-tickets, notifications).
• 6.3 You can export your customer data from the panel anytime.
• 6.4 In case of data breach, parties inform each other within reasonable time.
• 6.5 90-day data download period after account closure; then data anonymized/deleted.

7Intellectual Property

• 7.1 Platform software, APIs, widgets, designs, and brand elements belong to Platform. Agency gets limited, non-transferable usage rights.
• 7.2 Copying, reverse-engineering, or distributing source code is prohibited.
• 7.3 Developing a directly competing service using Platform infrastructure is prohibited.

8Confidentiality

• 8.1 All business information (pricing, commissions, technical details) is kept confidential.
• 8.2 Confidentiality continues for 2 years after agreement ends.
• 8.3 Legal obligations or court orders are excepted.

9Limitation of Liability

• 9.2 Platform total liability cannot exceed last 6 months net transaction volume.
• 9.3 Neither party is liable for indirect damages, loss of profit, reputation, or data loss.
• 9.4 Agency indemnifies Platform against third-party claims from its own operations.

10Force Majeure

• 10.1 Natural disasters, war, terrorism, pandemic, government bans, infrastructure failures, cyber attacks, etc. are force majeure.
• 10.2 Affected party notifies within reasonable time; obligations are suspended.
• 10.3 If exceeding 60 days, either party may terminate without compensation.

11Termination

• 11.2 Debts/credits until termination date remain valid. Maturing earnings are paid after 14 days.
• 11.3 90-day data download period; then data anonymized or deleted.

12Dispute Resolution

• 12.1 This agreement is governed by Estonian law.
• 12.2 Amicable resolution first — 30 days negotiation from written notice.
• 12.3 If unresolved, Tallinn (Harju Maakohus) courts have jurisdiction.

13Final Provisions

• 13.1 This agreement constitutes the entire agreement, superseding all prior agreements.
• 13.2 Changes published as new versions. If not accepted, current terms valid for 30 more days.
• 13.3 Invalidation of any provision does not affect others (severability).
• 13.4 All notifications via registered email, considered served upon sending.
• 13.5 Rights/obligations non-transferable without consent. (Mergers excepted)
• 13.6 Agency confirms information is accurate and it is authorized to sign.
